Research Independence

Revised 10 October 2026·Version history

Varosync keeps customer information confidential and research conclusions tied to their evidence. These principles apply to Fern™ and its variants and to research performed by Varosync.

Sources and conclusions

Research may use public records, licensed sources and private material that your organization is entitled to provide. Which sources are appropriate depends on the work, your agreement and any restrictions attached to the information.

Sources, dates and assumptions matter. An analysis based on an earlier record may change when new evidence becomes available. Users should review the supporting material and limitations before relying on a result, particularly for scientific, clinical, regulatory or investment decisions.

A customer may challenge an assumption or conclusion and provide further evidence. Commercial preference does not justify removing contrary evidence or presenting an unsupported finding as established fact.

Confidential information

Authorized users can work with private documents inside their organization’s Fern workspace. Those documents and the work derived from them remain subject to the organization’s agreement, access permissions and information rights.

We do not transfer one customer’s confidential material into another customer’s research, public research or a shared training dataset. The same restriction applies to summaries, conclusions and other material that would reveal the confidential source.

A source being available to one user does not make it available to every colleague or recipient. Users must respect contractual restrictions, licensing terms and any information barriers that apply to their work.

Capital markets and material nonpublic information

Capital-markets work may use public information and other information lawfully available for the intended purpose. A private diligence or transaction workspace may contain confidential information, including material nonpublic information, where the agreement and applicable restrictions permit it. That permission does not authorize trading, disclosure or any other use prohibited by law or a duty of confidence.

Your organization is responsible for its trading restrictions, restricted lists, disclosure duties and internal information barriers. Do not send restricted information through public enquiry forms. If you are unsure whether material belongs in your workspace, raise the issue with your organization’s compliance contact and Varosync before uploading it.

Conflicts

Varosync may work with organizations whose interests differ, including organizations studying the same companies, programs or transactions. Each customer’s confidential information remains protected. A shared subject does not grant one customer access to another’s work.

For research performed by Varosync personnel, we assess material conflicts relevant to the engagement and address them through confidentiality obligations, access restrictions, staffing arrangements, consent or declining the work, as appropriate. Suspected misuse or unauthorized disclosure may require access to be restricted while the matter is investigated.

Review and corrections

Fern supports research and analysis; its outputs can contain errors, omissions or assumptions that need further review. Users remain responsible for checking results and for decisions made from them. Access to the workspace does not mean that Varosync personnel have reviewed every output.

When we identify a material error in research we have issued, we assess the affected conclusions and provide a correction or clarification as appropriate. A change in evidence is explained as a change in evidence, rather than presented as though it had been known earlier.

Sharing and publicity

Your agreement and the rights attached to the source material determine who may receive your work. Review confidential and licensed content before exporting or sharing an output. A recipient’s access to an output does not grant broader rights to its underlying sources.

Varosync does not publicly identify a customer, confidential project, quotation or result without specific written permission. Permission to use a name or quotation does not authorize reuse of the customer’s documents.

Questions and concerns

Contact [email protected] about a possible conflict, information restriction or research correction. Describe the concern without sending restricted material in the first message. We will arrange access to any supporting documents that are needed.
